I think it depends on whether they are working at the moment, and whether that is ‘in expectation of being paid’ (remunerative work). They can be classed as in remunerative employment even if not earning - for example working to drum up business
As far as ‘available for and actively seeking’ goes then depends on what steps being taken to look for alternative employment and if prepared to give up being a director to take a job if offered

It all depends on what his role(s) are with the company. A director of a limited company is an office holder in the company and is an employed earner of the company. The income of a director can include payments for services as a director or any other employment with the company, share dividend, debenture interest. A director may also undertake other roles in the company either done in expectation of payment or not. I assume it is a one man band and the director is also the workforce, if so as the previous poster states then any activity involved in drumming up business counts towards the remunerative work exclusion.

The converse, of course, is that exclusion from JSA may become entitlement to WTC.

I’m a director of a number of companies.  Most of them are because I’m a trustee of a charity or a non-executive director or chair of a not-for-profit company.  None of those pay more than expenses.
